TAMPA, FL – Shumaker, Loop & Kendrick, LLP is pleased to announce that Gregory C. Yadley, Partner in the Tampa office, played a KEY role at the November 21 Securities and Exchange Commission Forum on small Business Capital Formation at the Washington, D.C., headquarters. In addition to acting as moderator with Keith Higgins, Director of the SEC Division of Corporation Finance, he helped plan the forum and chaired one of the Forum’s three Breakout Groups (dealing with exempt securities offerings. Mr. Yadley reported to the closing Plenary Session that will develop the final Forum report to the SEC Commissioners and Congress.
Closely following the Forum, the American Bar Association’s Business Law Section Fall Meeting was held in Washington, DC, on November 22, 2013, where Mr. Yadley participated in a panel presentation “Invest in this Offering! The Brave New World of General Solicitation in Rule 506 Offerings” and chaired the meeting of the ABA Middle Market & Small Business Committee.
Mr. Yadley has extensive experience representing business entities of all sizes, including closely-held and family businesses and large and small public companies. He regularly represents these clients in financing transactions, mergers and acquisitions, contract negotiations and disputes, strategic planning, legal compliance and general corporate matters. He also has extensive experience in securities matters, including advising clients with regard to their private and public offerings of securities (including initial public offerings) and their ongoing disclosure obligations.
Mr. Yadley currently serves as one of 21 members of the SEC Advisory Committee on Small and Emerging Businesses. He has served as a panelist or moderator for the SEC Government-Business Forum on Small Business Capital Formation since 2006, has been Co-Director of the Annual Federal Securities Institute for the past 17 years and is Co-Editor of The Florida Bar Florida Corporate Practice Manual. He is the past Chairman of the Florida Bar’s Business Law Section (and former Chair of the Corporations and Securities Committee), and has been a member of that Section’s Executive Counsel since 1984. In addition, Mr. Yadley is an Adjunct Professor at the University of Florida Law School.
